There was a thread not to long ago about this, you do need to have documentation, you can have an online copy too, but you can’t just reference it. It needs to be a fully working version.
I imagine it wouldn’t be too bad if you have version 1 docs with the theme and version 2.8 docs online and said “For most up to date look online”

Your question is quite confusing but however here is a reply:
If you made a design and want to sell html version, yes you can.
Later if you’ve converted html version to wp and want to sell as wp theme, yes you can.
The question is, if you uploaded both a html and wp version of the same design would one have a higher chance of being accepted.
I’d honestly say wp would have a slight edge over HTML but nothing incredible
